MARK Y. ABDOU – FOUNDER

Mark is the Founder and Managing Partner of Libertas Law Group. Mark has been practicing law for 15 years and brings an entrepreneurial, business and legal focus and expertise to clients by leveraging his broad array of experiences in complex business and legal negotiations and access to an impressive rolodex of contacts. Mark’s experience includes representing individual and small business clients with the negotiation, acquisition and leasing in the commercial and multi-family real estate market, negotiating with and representing institutional lenders in connection with private lending transactions and securitization of loans. Mark is experienced in negotiating with private investors, hedge funds and venture capital funds in structuring financings for his clients, and restructuring and negotiating existing equity and debt agreements.

Prior to founding Libertas Law Group, Mr. Abdou served as General Counsel and Sr. Vice President of GTX Corp, a technology company committed to developing miniaturized GPS tracking and cellular location-transmitting technology platforms for integration into a wide variety of consumer products.

Before that, Mr. Abdou was a partner at Richardson & Patel, LLP. Richardson & Patel, with offices in Los Angeles and New York, focuses on business reorganization & bankruptcy law, corporate & securities law, mergers & acquisitions, corporate finance and business, securities & employment litigation. Prior to joining Richardson & Patel, Mr. Abdou was with Greenberg Traurig. Greenberg Traurig is an international law firm focusing on all aspects of law, with over 1700 attorneys in 32 locations.

Over the course of his practice, Mark has assisted private and public companies in the real estate, technology, manufacturing, entertainment and gaming industries. Mark’s expertise includes negotiating and assisting companies with Initial Public Offerings, defending hostile takeover attempts, Mergers and Acquisitions, registered offerings public offerings, compliance matter with the U.S. Securities and Exchange Commission (SEC) and corporate governance. Mark has assisted with and negotiated with large debt and equity lenders, including a large Las Vegas casino financing, and counseled companies on general business and corporate matters. His expertise also includes, Alternative Public Offerings, Reverse Mergers with PIPE Investments, Venture Capital & Private Equity Financings, SEC Compliance matters, Corporate Compliance & Governance, Employment, Distribution and IP Agreements, Stock Transfer and Trading Issues, and Exchange Listing Requirements.

Mark was co-chair of the financing committee of Voices in Harmony’s “Voices of Uganda” project, which works with war-torn youth from northern Uganda.

Mark is also a founding director of Project Play! Project PLAY! was founded to enrich the lives of today’s youth by supplying schools and other organizations and programs with in-kind gifts focused on sports equipment, musical instruments, art supplies and other resources to promote and foster the creative and physical growth of tomorrow’s leaders.

Mark is a founding member of the Advisory Board for California Executives, a dynamic think tank of entrepreneurs and professionals.

Mark has been a member of the California State Bar 1999, and is admitted to appear in the United States District Court, Central District of California. Most recently he was selected as a Rising Star of 2008 and Rising Star of 2009 in Southern California by the industry publication Super Lawyers.

Mark received his Bachelor of Arts degree in Biological Sciences from the University of Southern California in 1996. He received his Juris Doctorate from Boalt Hall School of Law at the University of California, Berkeley in 1999. He received his Masters of Arts in Spiritual Psychology from the University of Santa Monica in 2009.
